1. Who You Are Contracting With

These Terms & Conditions ("Terms") form an agreement between you (or the organization you represent) and ISEI Consulting, LLC dba Plainscope, a Hawaii limited liability company located in Honolulu, HI ("Plainscope", "we", "us"). By creating an account or using plainscope.ai or the Plainscope application (the "Service"), you agree to these Terms. You represent that you are at least 18 years old and, if signing up on behalf of an organization, that you have authority to bind that organization.

2. The Service

Plainscope helps US Department of Defense contractors draft CMMC Level 2 System Security Plans (SSPs), POA&Ms, and SPRS score estimates using guided intake and AI-assisted narrative generation. Plainscope produces drafts only. Reviewer attestation and human verification are required before submission to any assessor or government system. Plainscope is not a C3PAO, does not certify compliance, and does not submit assessments on your behalf.

3. Acceptable Use

You must not: (a) use the Service unlawfully or in violation of US export controls or sanctions; (b) upload Controlled Unclassified Information (CUI), classified information, ITAR-controlled technical data, or other regulated content the Service is not designed to handle; (c) attempt to gain unauthorized access, probe, scan, or interfere with the security of the Service; (d) reverse engineer, decompile, or attempt to derive source code; (e) resell, sublicense, or redistribute the Service; (f) use the Service to send spam, malware, or infringing content; (g) circumvent usage limits or technical restrictions.

4. Accounts and Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and keep it current. Notify us immediately at security@plainscope.ai of any unauthorized access.

5. Generative AI

The Service uses third-party large language models to draft narratives from your intake responses. Outputs may be inaccurate, incomplete, or unsuitable for your specific environment and must be reviewed and edited by a qualified person before reliance. You are responsible for: (a) the accuracy of your intake responses; (b) reviewing all generated content; (c) ensuring you have the right to submit any input content; (d) the use you make of outputs. We may filter, refuse, or restrict outputs and may suspend accounts that misuse the AI features (e.g., to generate prohibited content). Outputs are not legal, compliance, or professional advice.

6. Intellectual Property

Plainscope and its licensors retain all right, title, and interest in the Service, including software, documentation, branding, and templates. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription term. You retain ownership of your intake responses and the SSP, POA&M, and related documents you generate ("Customer Content"). You grant us a limited license to host and process Customer Content solely to provide the Service.

7. Payment and Subscription Terms

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. For payment, billing, taxes, currency, invoicing, cancellations, and refund mechanics, the Paddle Buyer Terms apply: https://www.paddle.com/legal/checkout-buyer-terms. Subscriptions renew automatically at the then-current rate for the same billing period unless canceled before the renewal date. One-time purchases (e.g., the SSP Package) are billed once and grant the access described on the pricing page. Founding-member pricing, where offered, remains locked for the lifetime of the account so long as the account remains in good standing.

8. Refunds

See our Refund Policy at /refunds. In summary, we offer a 30-day money-back guarantee on initial purchases. Refunds are processed by Paddle at paddle.net.

9. Suspension and Termination

We may suspend or terminate your access to the Service for: (a) material breach of these Terms; (b) non-payment; (c) security or fraud risk; (d) repeated or serious violations of the Acceptable Use rules; (e) request by law enforcement or court order. You may cancel your subscription at any time via paddle.net or the in-app billing settings. On termination, your right to use the Service ends; you may export your data for 30 days, after which we may delete it.

10. Service Level

We provide the Service on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or that defects will be corrected immediately. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our aggregate liability arising out of or relating to these Terms will not exceed the fees you paid us (or to Paddle on our behalf) in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded by law.

12. Indemnification

You will defend and indemnify Plainscope against third-party claims arising from: (a) your Customer Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your submission of any output to a government agency or assessor.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Hawaii, USA, without regard to conflict-of-laws principles. Exclusive venue for any dispute lies in the state and federal courts located in Honolulu County, Hawaii, and the parties consent to personal jurisdiction there.

14. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15. Force Majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil disturbance, labor disputes, internet or utility outages, or governmental action.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
